Affiliate Terms Agreement

This Affiliate Terms Agreement governs participation in any affiliate, ambassador, or referral program operated by Perpetra LLC or any of its brands. By participating in any Perpetra affiliate program, you agree to the following:
Program Structure
Perpetra operates multiple brands and affiliate programs. Affiliates may promote one or more brands using unique referral links, discount codes, or tracking systems.
Perpetra reserves the right to modify, pause, or discontinue any affiliate program at any time.
Commission & Payments
Affiliates may earn commissions based on qualified sales generated through their unique referral methods. A qualified sale is a completed transaction that is not refunded, disputed, or flagged as fraudulent.
Commissions:
- Are only paid on verified, completed sales
- May be adjusted in cases of refunds, chargebacks, or fraud
- Are paid on a schedule determined by Perpetra
Perpetra reserves the right to change commission structures at any time.
Payout Conditions
Affiliates must meet any minimum payout thresholds set by Perpetra. Affiliates are responsible for providing accurate payment information. Failure to provide accurate details may result in delayed or forfeited payments.
Prohibited Conduct
Affiliates may NOT:
- Make false, misleading, or exaggerated claims about products
- Present themselves as employees or official representatives of Perpetra
- Use spam, bots, or automated messaging systems
- Engage in deceptive marketing practices
- Use unauthorized discounts, coupons, or promotions
- Bid on branded keywords or impersonate Perpetra brands
- Promote in a way that violates platform rules (Instagram, TikTok, etc.)
Content & Representation
Affiliates are responsible for all content they create. All promotions must be truthful, accurate, comply with FTC guidelines, and represent products and brands honestly. Perpetra is not responsible for claims made by affiliates.
Intellectual Property
Affiliates may use approved brand assets only as provided. Affiliates may not modify, resell, or misuse brand assets without permission. All intellectual property remains owned by Perpetra.
Termination
Perpetra may suspend or terminate any affiliate at any time for violation of this Agreement, fraudulent activity, misrepresentation of products, or behavior that harms brand reputation. Upon termination, access to affiliate systems may be revoked and unpaid commissions may be withheld if violations occurred.
No Employment Relationship
Affiliates are independent contractors. This Agreement does not create any partnership, employment, or agency relationship.
Limitation of Liability
Perpetra is not liable for indirect, incidental, or consequential damages, including lost income or opportunities.
Governing Law
This Agreement is governed by the laws of the State of Florida.
