This Master Service Agreement governs all services, partnerships, and business relationships between Perpetra LLC and any client, partner, contractor, or third party. By engaging with Perpetra, you agree to the following:
Scope of Services
Perpetra operates a portfolio of brands and may provide services including product sales, brand development, marketing support, affiliate programs, and related business activities. Specific deliverables may be defined separately in writing.
Independent Business Structure
Perpetra operates multiple independent brands. Engagement with one brand does not create a relationship with all brands unless explicitly stated.
Payments
All payments must be made in full according to agreed terms. Late payments may result in service suspension or termination.
No Guaranteed Results
Perpetra does not guarantee specific financial, marketing, or performance outcomes. All results depend on execution, market conditions, and third-party factors.
Intellectual Property
All systems, branding, strategies, and materials developed by Perpetra remain the property of Perpetra unless otherwise agreed in writing.
Client Responsibilities
Clients agree to provide accurate information, comply with applicable laws, and not misuse services, systems, or brand assets.
Limitation of Liability
Perpetra is not liable for indirect, incidental, or consequential damages, including lost revenue or business interruption.
Indemnification
Clients agree to indemnify and hold Perpetra harmless from claims arising from misuse, misrepresentation, or violation of laws.
Termination
Either party may terminate the relationship at any time unless otherwise agreed. Outstanding payments remain due.
Governing Law
This Agreement is governed by the laws of the State of Florida.
